These Terms & Conditions apply to all procurement transactions conducted by Sino Timberlink, the official U.S. procurement division of Caimuwang. They govern the relationship between Sino Timberlink (the Buyer) and its suppliers and service providers.

• All purchase orders must be confirmed in writing (email, signed contract, or PO).
   
• Any changes to the order must be approved in writing by both parties.
   

• The Supplier is responsible for ensuring that all goods meet the technical specifications, quality standards, and certifications as agreed.
   
• Sino Timberlink reserves the right to perform third-party inspections or audits before or after shipment.
   

• On-time delivery is essential. The Supplier must notify the Buyer immediately of any potential delays.
   
• Late deliveries without valid justification may result in penalties, reduced payment, or cancellation of the order.
   

• The Supplier must follow the Buyer's shipping instructions and provide all required documentation, including but not limited to:
   
  • Commercial Invoice
     
  • Packing List
     
  • Bill of Lading (B/L)
     
  • Certificate of Origin
     
  • Inspection Certificates (if applicable)
     
• Failure to provide accurate and complete documents may result in delayed payment or additional charges.
   

• Payment will be made according to mutually agreed terms (e.g. T/T, L/C, or Open Account).
   
• In the event of product discrepancies, delays, or other contractual issues, the Buyer reserves the right to withhold payment until the matter is resolved.
   

• In case of a dispute, both parties agree to resolve the issue through good-faith negotiation.
   
• If unresolved, the dispute shall be governed by the laws of the State of Washington, USA, and subject to the jurisdiction of courts in King County, WA.
